Terms & Conditions

Please read these terms carefully before using any service offered by Validraft. Your continued use of the Platform constitutes your unconditional acceptance.

Important Notice: Validraft is a technology facilitation platform. It is not a CA firm registered under the Chartered Accountants Act, 1949; not a CS firm under the Company Secretaries Act, 1980; and not a law firm or advocate under the Advocates Act, 1961. All statutory filings are executed exclusively by independent empanelled professionals under their own valid Certificate of Practice. Nothing on this Platform constitutes legal, financial, or professional advice.

Definitions

The following terms shall have the meanings set out below wherever used in these Terms:

"Platform" The website validraft.in, its sub-domains, WhatsApp channels, and all digital communication interfaces operated by Validraft.
"Validraft" The entity operating the Platform, having its corporate office at Devidanga, Champasari, Siliguri, Darjeeling West Bengal – 734003, and registered office at Purani Chowk, Main Road Gopalganj, Bihar – 841428, India ("we," "us," "our").
"Client" / "User" Any natural person, HUF, firm, company, LLP, trust, or legal entity accessing the Platform or availing any Service ("you," "your").
"Services" All facilitation, coordination, documentation, filing assistance, and allied activities offered through the Platform, as described in Clause 5.
"Empanelled Professional" An independent Chartered Accountant (ICAI), Company Secretary (ICSI), IP Attorney, or Advocate holding a valid Certificate of Practice, assigned by Validraft to execute statutory filings on behalf of Clients.
"Government Fee" Statutory fees, stamp duties, and portal charges payable to MCA21, IP India, GSTN, FSSAI, or any other government portal; collected by Validraft solely as a pass-through agent and remitted to the relevant authority.
"Professional Fee" Validraft's facilitation fee for coordination, documentation review, professional assignment, and platform management, as quoted in the Proposal.
"Proposal" A written quotation specifying Government Fee, Professional Fee, document checklist, and estimated timeline issued by Validraft to a Client prior to engagement.
"Filing" Any application, form, return, or document submitted on a government portal by an Empanelled Professional on behalf of a Client.
"Force Majeure Event" Any event beyond the reasonable control of Validraft including government portal downtime, MCA system outages, natural disasters, pandemic, or legislative changes.

Acceptance of Terms

These Terms & Conditions, together with the Privacy Policy and Refund Policy, constitute a legally binding agreement between you and Validraft under the Indian Contract Act, 1872 and the Information Technology Act, 2000.

By accessing the Platform, submitting an enquiry, making payment, or instructing Validraft to proceed with any Service — whichever occurs first — you unconditionally agree to be bound by these Terms. If you do not agree, you must immediately cease using the Platform.

Where a Client is a company, firm, LLP, or other legal entity, the individual making payment or submitting instructions represents and warrants that they are duly authorised to bind such entity to these Terms.

Nature of the Platform

Statutory Clarification — Read Carefully
Validraft is an online facilitation and technology platform. It is not a CA firm regulated under the Chartered Accountants Act, 1949; not a CS firm under the Company Secretaries Act, 1980; and not a law firm, advocate, or legal practitioner under the Advocates Act, 1961. Validraft does not hold, and is not required to hold, any Certificate of Practice issued by ICAI, ICSI, or any Bar Council.

Validraft's role is strictly that of a technology intermediary and back-office coordination platform that:

  • Receives client requirements, prepares document checklists, and issues itemised Proposals;
  • Assigns each Filing to an appropriate Empanelled Professional with a valid Certificate of Practice;
  • Facilitates collection and pass-through of Government Fees to the relevant statutory authority;
  • Monitors deadlines, tracks filing status, and communicates outcomes to the Client; and
  • Does not itself execute, certify, or digitally sign any statutory filing on any government portal.

All statutory filings are made exclusively by Empanelled Professionals in their own professional capacity, under their own digital signatures and Certificates of Practice.

User Eligibility

To avail Services, you must:

  • be at least 18 (eighteen) years of age and of sound mind, so as to be competent to contract under Section 11 of the Indian Contract Act, 1872;
  • not be disqualified or barred from entering into contracts by any applicable law;
  • if acting on behalf of a company or firm, possess valid authorisation from the entity's board, partners, or governing body; and
  • have a valid email address and phone number for communication purposes.

Validraft reserves the right to refuse Services to any person without assigning a reason, including where there are grounds to suspect fraud, misrepresentation, or regulatory risk.

Scope of Services

Validraft facilitates the following categories of Services, subject to the specific terms of each accepted Proposal:

The specific scope, deliverables, Government Fee, and Professional Fee for each engagement are governed exclusively by the Proposal accepted by the Client. In the event of conflict between these Terms and a Proposal, the Proposal shall prevail to the extent of such conflict.

Out of Scope
Services NOT facilitated by Validraft include: court litigation, NCLT/NCLAT proceedings, criminal defence, income tax litigation, tax planning or investment advisory, valuation certificates, and any filing not expressly listed in the accepted Proposal.

Service Engagement & Contract Formation

A binding service contract is formed between you and Validraft only upon both of the following conditions being satisfied:

  • Validraft issues a written Proposal specifying the scope, Government Fee, Professional Fee, document checklist, and estimated timeline; and
  • the Client makes payment of the Professional Fee (or such portion as specified in the Proposal).

No obligation is created by an enquiry, WhatsApp conversation, or any discussion prior to payment. Validraft reserves the right to decline any engagement before the contract is formed, without liability.

Work commences only after complete document submission by the Client as per the checklist. Any delay in document submission by the Client shall automatically extend all estimated timelines commensurately, and Validraft shall not be liable for such extended timelines.

Fees, Payment & Taxes

7.1 Fee Structure. Every Proposal contains an itemised breakdown of: (i) Government Fee; and (ii) Professional Fee. Both components are disclosed upfront. No hidden charges are levied.

7.2 Government Fees. Government Fees are statutory levies fixed by MCA, IP India, GSTN, FSSAI, or other competent authorities. They are collected by Validraft solely as a pass-through agent and remitted in full to the relevant portal. Validraft earns no margin on Government Fees. Government Fees are non-refundable once remitted to the government portal, irrespective of the outcome of the Filing.

7.3 Professional Fees. Professional Fees represent Validraft's charge for facilitation and coordination. They are payable in advance unless otherwise stated in the Proposal. Refundability is governed by the Refund Policy and Clause 8.

7.4 Taxes. All fees quoted are exclusive of applicable Goods and Services Tax (GST), unless expressly stated otherwise. GST shall be charged at the rate applicable on the date of supply as per the CGST Act, 2017.

7.5 Payment Methods. Payments are accepted via UPI, NEFT/RTGS, bank transfer, or such other methods as specified by Validraft. Validraft does not store card or account details.

7.6 Fee Revision. If a Government Fee increases after a Proposal is issued but before the Filing is made, the revised fee shall be payable by the Client. Validraft will notify the Client before collecting any additional amount.

Client Obligations & Document Accuracy

The Client unconditionally represents, warrants, and undertakes to:

  • provide only accurate, complete, and current information, documents, and declarations. The Client bears full and exclusive responsibility for the correctness of all documents submitted, including PAN, Aadhaar, address proofs, digital signatures, and director/shareholder details;
  • not furnish any forged, fabricated, or fraudulently obtained document. Doing so may constitute an offence under the Indian Penal Code, 1860 (as applicable), the Companies Act, 2013, or other applicable statutes, and Validraft shall immediately report such conduct to appropriate authorities;
  • respond to queries and document requests within 48 (forty-eight) hours of the request, failing which Validraft shall be entitled to suspend work without refund of Professional Fee;
  • ensure that all individuals whose PAN, Aadhaar, or DIN is submitted have provided their explicit informed consent for such use;
  • immediately inform Validraft of any change in instructions, withdrawal of consent by a director or shareholder, or commencement of any insolvency, winding-up, or regulatory proceedings; and
  • comply with all conditions and post-registration compliances arising from any Filing (e.g., INC-20A within 180 days of incorporation, annual ROC filings, GST return filings).
Critical Warning — Post-Registration Compliances
Post-registration statutory compliances (INC-20A, annual ROC filings, GST returns, ITRs) are not included in a registration or incorporation engagement unless explicitly stated in the Proposal. Failure to comply may attract penalties from MCA or GSTN, for which Validraft accepts no responsibility.

Independent Empanelled Professionals

Empanelled Professionals execute Filings in their own name, under their own Certificate of Practice, and at their own professional risk. They are not employees, agents, or partners of Validraft. The relationship between an Empanelled Professional and a Client is governed by the professional's code of conduct under ICAI, ICSI, or the Bar Council, as applicable.

Validraft does not guarantee:

  • the approval, grant, or successful outcome of any Filing by any government authority;
  • the specific Empanelled Professional assigned to a Client's file; or
  • that the Empanelled Professional's conduct will conform to any particular standard beyond their statutory professional obligations.

Validraft shall use reasonable endeavours to assign a replacement professional in the event an Empanelled Professional becomes unavailable after commencement of work, without additional Professional Fee to the Client.

Actual timelines depend on government portal availability, officer workload, scrutiny requirements, and document quality — all factors beyond Validraft's control.

Limitation of Liability

12.1 Aggregate Cap. To the maximum extent permitted by applicable law, Validraft's total aggregate liability to a Client arising out of or in connection with any single engagement — whether in contract, tort, or otherwise — shall not exceed the Professional Fee actually paid by the Client for that specific engagement.

12.2 Excluded Losses. Validraft shall have no liability for:

  • loss of profit, revenue, business, or anticipated savings;
  • loss of data or goodwill;
  • indirect, special, consequential, or punitive damages;
  • penalties, late fees, or additional duties imposed by MCA, GSTN, IP India, FSSAI, or any government authority, unless directly caused by Validraft's own proven negligence;
  • any outcome of government rejection, objection, examination report, or third-party opposition in trademark proceedings;
  • losses arising from the Client's inaccurate, incomplete, or fraudulent documents or instructions; or
  • business decisions made in reliance on informational content on the Platform.

12.3 No Liability for Professional Acts. Validraft is not liable for any act, omission, error, or negligence of an Empanelled Professional. The Client's sole recourse for professional misconduct is against the Empanelled Professional and, where applicable, before the relevant professional body (ICAI Disciplinary Committee, ICSI Disciplinary Mechanism, or Bar Council).

Government Portal & Regulatory Delays

Validraft has no control over government portal availability (MCA21 V3, GSTN, IP India, FSSAI), officer processing timelines, system outages, or policy changes by regulatory authorities. Delays attributable to such factors shall not constitute a breach by Validraft and shall not entitle a Client to a refund of Professional Fee.

In the event of portal downtime or technical errors at the government's end, Validraft shall: (i) notify the Client promptly; (ii) make all reasonable efforts to complete the Filing at the earliest opportunity once the portal is restored; and (iii) not levy any additional Professional Fee solely on account of the delay.

Intellectual Property

All content on the Platform — including website design, graphics, text, data compilations, logos, process methodologies, blog articles, and Knowledge Base content — is the exclusive intellectual property of Validraft or its licensors, protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.

The Client is granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of availing Services. No content may be reproduced, redistributed, scraped, or used for commercial purposes without Validraft's prior written consent.

Government-issued certificates, CINs, GSTINs, and TM Application Numbers generated as a result of Filings belong exclusively to the Client and are not Validraft's intellectual property.

Confidentiality & Data Privacy

Validraft treats all client documents, personal information, and business details as strictly confidential. Client data is shared with the assigned Empanelled Professional on a need-to-know basis exclusively for executing the Filing, and with government portals as required by law.

Validraft does not: (i) sell or rent client data to any third party; (ii) use client data for marketing without explicit consent; or (iii) retain documents beyond a reasonable period after completion of the engagement.

Personal data processing is governed by Validraft's Privacy Policy. Clients submitting third-party PAN, Aadhaar, or DSC credentials represent that they have obtained the explicit, informed consent of the individuals concerned.

Force Majeure

Validraft shall not be in breach of these Terms, nor liable for any failure or delay in performance, to the extent such failure or delay results directly from a Force Majeure Event. Upon occurrence of a Force Majeure Event, Validraft shall notify the Client and resume performance as soon as reasonably practicable.

If a Force Majeure Event continues for more than 60 (sixty) calendar days, either party may terminate the engagement upon written notice, whereupon the Professional Fee shall be refunded on a pro-rata basis for work not yet commenced, but no other compensation shall be payable.

Governing Law & Jurisdiction

These Terms shall be governed by and construed exclusively in accordance with the laws of India, without regard to conflict of law principles.

Subject to Clause 18 (Arbitration), the courts of Siliguri, Darjeeling, West Bengal shall have exclusive jurisdiction to adjudicate any dispute arising out of or in connection with these Terms or any Service, and the Client hereby submits to such jurisdiction.

Dispute Resolution & Arbitration

18.1 Escalation. In the event of any dispute, the Client shall first raise a complaint with Validraft's Grievance Officer (details in Clause 21) in writing. Validraft shall respond within 15 (fifteen) working days. The parties shall make bona fide efforts to resolve the dispute amicably within 30 (thirty) calendar days of the initial complaint.

18.2 Arbitration. If the dispute is not resolved amicably, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. If the parties fail to agree within 15 days, either party may approach the appropriate court for appointment. The seat and venue of arbitration shall be Siliguri, Darjeeling, West Bengal. The language of arbitration shall be English. The arbitrator's award shall be final and binding.

18.3 Consumer Forum. Nothing in this Clause shall be construed to restrict a Client who qualifies as a "consumer" under the Consumer Protection Act, 2019 from approaching the appropriate Consumer Disputes Redressal Commission.

Amendments to These Terms

Validraft reserves the right to revise these Terms at any time. Amendments shall be effective upon publication on the Platform. Clients are advised to review these Terms periodically. Continued use of the Platform or Services after publication of revised Terms shall constitute acceptance of the amended Terms.

For ongoing engagements, material amendments that adversely affect the Client's rights shall not apply retroactively without the Client's written consent.

Miscellaneous

Severability. If any provision of these Terms is held invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

Waiver. No failure or delay by Validraft in exercising any right under these Terms shall constitute a waiver of that right.

Entire Agreement. These Terms, together with the Privacy Policy, Refund Policy, and the accepted Proposal (if any), constitute the entire agreement between the parties and supersede all prior representations, understandings, and agreements, whether oral or written.

Assignment. The Client may not assign or transfer any right or obligation under these Terms without Validraft's prior written consent. Validraft may assign its rights and obligations to any successor entity resulting from a restructuring, merger, or acquisition.

Language. These Terms are executed in the English language. In case of any translation, the English version shall prevail.

Contact & Grievance Redressal

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the following Grievance Officer is designated for the Platform. All complaints will be acknowledged within 24 hours and resolved within 15 working days.
